1. Corporate Investment Framework & Regulatory Status
Watson Capital Partners ("WCP") operates as a principal private investment vehicle acquiring controlling equity stakes in established small and medium-sized enterprises (SMEs) across the United Kingdom.
Regulatory Clarification: WCP acts strictly as a principal corporate acquirer and private investment vehicle. We are not a deposit-taking retail financial institution, nor do we provide retail investment brokerage. Our activities relate solely to direct corporate acquisitions, majority equity investments, and commercial asset transfers exempt from general authorisation under the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 (Article 70).
2. Valuation Multiples & Non-Reliance Disclaimer
All valuation ranges, multiples, case studies, and financial benchmarks published on our website or presentation documents are illustrative market benchmarks based on historical off-market UK SME transactions.
Non-Reliance: Indicative valuations do not constitute a formal fairness opinion, statutory audit, or binding acquisition appraisal. The actual transaction consideration achieved depends upon confirmatory legal, tax, and commercial due diligence, working capital peg adjustments, debt/cash-free closing balances, and mutually agreed share purchase contracts between transaction principals.
3. Principal Engagement & Zero Seller Fees
A. Direct Vendor Succession
- Zero Seller Fees or Commissions: As direct principal buyers, we charge business owners zero retainers, zero listing fees, and zero commissions. 100% of the agreed transaction value is retained by the selling shareholders.
- Confidential Non-Binding Exploration: Initial discussions and headline reviews are non-binding and conducted strictly under mutual NDA. Business owners retain complete autonomy to decline proposals or pause discussions without penalty.
- Definitive Agreements: All commercial commitments become legally binding only upon the execution of formal Heads of Terms and subsequent Sale and Purchase Agreements (SPA) approved by your independent solicitors.
B. Professional Intermediary & Advisor Introductions
- Introduction Recognition: We welcome opportunities introduced by sell-side corporate finance advisors, M&A boutiques, and chartered accountants. Standard introduction agreements are executed in writing and fees honoured upon legal completion.
4. Non-Circumvention & Protection of Introductions
The commercial value of our origination desk lies in identifying off-market, unbrokered opportunities. All counterparties (buyers, investors, and sellers) acknowledge and agree that:
- Protection periods, non-circumvention terms, and retain durations following an introduction facilitated by WCP are determined on a transaction-by-transaction basis, open to mutual discussion and negotiation, and defined in the bespoke bilateral mandate before diligence proceeds. Neither party shall bypass or avoid WCP to conclude a transaction with an introduced principal without honoring the agreed success arrangements.
- All communications regarding valuation, term sheets, management meetings, and diligence data requests must be coordinated through or notified in writing to WCP, subject to tailored terms agreed between the principals.
5. Intellectual Property & Proprietary Algorithms
All proprietary screening methodologies, Companies House filtering algorithms, blind teaser templates, valuation calculators, logos, visual typography, and digital assets on this website are the sole intellectual property of Watson Capital Partners. No reproduction, automated scraping, or commercial extraction is permitted without express written consent.
6. Governing Law & Jurisdiction
These Terms of Engagement, mutual non-disclosure undertakings, and all advisory engagements with Watson Capital Partners are governed by, and shall be construed in accordance with, the laws of England and Wales. The parties irrevocably agree to submit to the exclusive jurisdiction of the Courts of England and Wales to resolve any dispute or claim arising out of or in connection with our services.
